These Terms of Service govern your access to and use of Networker. By creating an account, checking the agreement box, clicking to accept, connecting an integration, purchasing a plan, or using Networker, you agree to these Terms and the Networker Privacy Policy. If you do not agree, do not use Networker.
Networker is a software service for finance recruiting, networking research, outreach drafting, contact organization, email workflow support, and related recruiting productivity. Networker is not a law firm, financial adviser, employment agency, broker-dealer, investment adviser, school, university, recruiting agency, or guarantor of outcomes.
2. Eligibility and Accounts
You must be legally able to enter into a binding agreement and use Networker in compliance with applicable law. If you use Networker on behalf of an organization, you represent that you have authority to bind that organization. You are responsible for the accuracy of information you provide and for maintaining the confidentiality of your account credentials.
You are responsible for all activity under your account, including activity through connected email or calendar integrations. Notify us promptly if you believe your account or connected services have been compromised.
Networker may require email verification, legal acceptance, payment authorization, onboarding completion, or other account steps before you can access certain features. We may reject, suspend, or reclaim usernames, accounts, or workspace identifiers that are inaccurate, misleading, infringing, abusive, or create operational or legal risk.
3. User Responsibilities
You are responsible for your recruiting profile, uploaded materials, selected contacts, outreach settings, notes, drafts, approvals, sent messages, and use of Networker. You must review all drafts, recommendations, and automated outputs before relying on them or sending communications.
You agree to use Networker only for lawful, professional, and respectful recruiting, networking, and career development purposes. You must comply with all laws and rules that apply to your communications, including anti-spam, privacy, intellectual property, consumer protection, employment, school, platform, and email provider rules.
You are responsible for ensuring that your use of Networker does not violate school policies, employer policies, recipient preferences, email provider limits, platform rules, confidentiality obligations, or professional conduct expectations. Networker may provide workflow tools, but it does not replace your judgment or obligations.
4. No Data Scraping, Harvesting, or Platform Abuse
You may not scrape, crawl, spider, harvest, copy at scale, index, mine, extract, bulk export, republish, resell, broker, or create datasets from Networker, its databases, professional profiles, school data, firm data, alumni data, contact data, user data, recommendations, rankings, or generated outputs except through functionality expressly provided by Networker for your own permitted use.
You may not use bots, scripts, automation, browser extensions, reverse engineering, API abuse, credential sharing, rate-limit circumvention, session replay, screen scraping, data brokers, enrichment pipelines, or other automated or manual processes to collect data from Networker or other users. You may not use Networker to build or improve a competing product, data brokerage, lead database, recruiting database, or outreach automation service.
You may not probe, scan, test, overload, interfere with, bypass, or attempt to access non-public systems, accounts, integrations, data, or security controls. We may suspend or terminate accounts, throttle usage, revoke access, preserve evidence, and pursue legal remedies for suspected scraping, harvesting, abuse, or unauthorized access.
5. User Data and Confidentiality Obligations
You may receive or access information through Networker that is personal, confidential, proprietary, or sensitive. You agree to use such information only for your own lawful recruiting workflow in Networker and not to disclose, sell, share, publish, transfer, or misuse it. You must not upload or process third-party confidential information unless you have all necessary rights and permissions.
You may not use Networker to identify, target, profile, discriminate against, harass, dox, threaten, impersonate, or otherwise harm any person. You may not include sensitive personal information, protected class information, health information, government identifiers, financial account details, or other unnecessary sensitive data in outreach or profile fields.
If you connect email, calendar, or other third-party accounts, you authorize Networker to process the data necessary to provide the integration. You remain responsible for ensuring your use of connected services complies with the provider's terms and applicable laws.
6. Outreach, Drafts, and Communications
Networker may generate suggested recipients, talking points, templates, subject lines, follow-ups, and other draft content. Drafts and recommendations are provided for assistance only. You are solely responsible for reviewing, editing, approving, and sending messages. Networker does not guarantee response rates, interviews, referrals, offers, admissions, employment, or any career outcome.
You may not send spam, unsolicited bulk messages, deceptive messages, illegal marketing, phishing, malware, harassment, discriminatory content, or messages that violate provider policies or applicable law. You must honor opt-outs, unsubscribe requests, provider limits, school rules, employer policies, and recipient preferences.
You may not falsely imply a relationship, referral, endorsement, employment status, school affiliation, authorization, or identity. If a recipient asks you not to contact them, you are responsible for respecting that request and updating your workflow accordingly.
7. Integrations and Third-Party Services
Networker may allow you to connect Google, Microsoft Outlook, calendar, email, payment, authentication, or other third-party services. Your use of third-party services is governed by their own terms and privacy policies. We are not responsible for third-party services, downtime, policy changes, data handling, or actions.
You authorize Networker to access, process, transmit, and store integration data as needed to provide requested features, including authentication, drafting, sending, status tracking, troubleshooting, security, and compliance. You may revoke integration access, but doing so may limit functionality.
Third-party services may change their APIs, policies, pricing, limits, scopes, permissions, or approval requirements. Networker may modify, suspend, or discontinue integrations if a provider changes access terms, creates security risk, imposes limits, or no longer supports a required feature.
8. Subscriptions, Billing, and Cancellation
Some features may require a paid subscription. Prices, limits, and features are presented at checkout or in the product and may change prospectively. Payments are processed by third-party payment processors. You authorize charges for selected plans and any applicable taxes. Unless otherwise stated, subscription fees are non-refundable except where required by law or expressly stated in writing.
You may cancel according to the available account or billing controls. Cancellation may stop future renewals but does not automatically refund past charges. We may change, suspend, or discontinue plans or features, subject to applicable law.
Plan limits may include weekly email volume, database access, contact discovery, drafting, analytics, support, or other usage limits. Unused plan capacity does not roll over unless expressly stated. We may enforce limits by throttling, restricting, delaying, or disabling features.
If a payment fails, is reversed, is disputed, or cannot be processed, we may suspend paid features, retry payment, downgrade your account, or terminate access after reasonable notice where required by law. You are responsible for maintaining accurate billing information.
9. Trials, Beta Features, and Product Changes
Networker may offer free trials, previews, beta features, experimental AI features, early access functionality, or limited promotions. These features may be modified, rate-limited, suspended, or discontinued at any time and may be subject to additional terms, eligibility requirements, or usage limits.
Beta and experimental features are provided for evaluation and may be incomplete, inaccurate, unavailable, or changed without notice. You should not rely on beta features for critical workflows without independently verifying outputs and maintaining backups of important information.
We may add, remove, modify, rename, or discontinue features, plans, limits, integrations, databases, models, workflows, and content. We will try to avoid materially reducing paid functionality during a paid subscription period without notice, but we may make changes needed for security, compliance, provider requirements, abuse prevention, or product reliability.
10. Ownership and License
Networker and its software, design, databases, workflows, models, prompts, rankings, recommendations, templates, trademarks, logos, and content are owned by Networker or its licensors and are protected by intellectual property and other laws. Except for rights expressly granted, no rights are transferred to you.
You retain ownership of User Content you submit, subject to the license you grant Networker to host, process, display, transmit, reproduce, modify, create derivative works from, and use User Content as necessary to provide, secure, support, improve, and enforce Networker and as otherwise described in the Privacy Policy.
The license you grant to Networker is limited to operating, providing, securing, supporting, troubleshooting, improving, and enforcing the Services, and to complying with law. This license does not give Networker ownership of your resume, private outreach drafts, notes, or connected email content.
Networker may use de-identified or aggregated information, usage patterns, feedback, and non-identifying operational data to improve, analyze, and market the Services, provided that such use does not identify you or disclose private Customer Data except as permitted by the Privacy Policy.
11. Acceptable Use
You may not use Networker for unlawful, harmful, fraudulent, deceptive, infringing, harassing, abusive, discriminatory, defamatory, obscene, or exploitative purposes. You may not upload malware, interfere with service integrity, violate security measures, impersonate others, misrepresent affiliations, use another person's account, or attempt unauthorized access.
You may not use Networker for regulated professional advice, credit eligibility, employment eligibility decisions, housing decisions, insurance decisions, lending decisions, or other high-impact decisions about another person. You may not use Networker to make automated decisions that produce legal or similarly significant effects about individuals.
You may not use Networker to generate or send spam, mass unsolicited email, phishing, malware, political persuasion at scale, harassment, discriminatory targeting, defamatory content, or content that encourages self-harm, violence, illegal conduct, or exploitation. You may not attempt to bypass usage limits, safety controls, security measures, integration scopes, or provider restrictions.
You may not upload, request, generate, store, or transmit content that infringes intellectual property rights, violates privacy rights, contains trade secrets you are not authorized to use, or includes highly sensitive personal information that is unnecessary for your recruiting workflow.
12. AI Features and Automated Outputs
AI-assisted and automated features may produce inaccurate, incomplete, outdated, biased, or inappropriate outputs. You are responsible for reviewing outputs before using them, sending them, relying on them, or presenting them as your own.
You may not use Networker outputs to mislead recipients about whether a message was human-written, to impersonate another person, to fabricate experience, to misrepresent qualifications, or to make decisions that require independent professional judgment.
Networker does not use your private Customer Data to train generalized AI or machine learning models. Where third-party AI providers process Customer Data to provide a feature, those providers must process it only for authorized purposes, subject to their applicable commitments and our agreements with them.
13. Privacy and Data Protection
Your use of Networker is subject to the Privacy Policy. You must comply with all applicable privacy, data protection, confidentiality, and security obligations. If you provide personal information about another person, you represent that you have a lawful basis, consent where required, and authority to provide that information.
You must not export or transfer Networker data to third parties except as permitted by Networker and applicable law. You must not use Networker data for data brokerage, cross-context behavioral advertising, profiling unrelated to your permitted recruiting workflow, or resale.
If you are subject to data protection laws because of information you upload, import, save, or send through Networker, you are responsible for your own notices, consents, legal bases, deletion obligations, and recipient-rights handling. Networker is not responsible for your independent privacy compliance obligations.
14. Confidentiality and Sensitive Information
You may receive access to private or non-public information through your own account, connected services, drafts, notes, imported contacts, or support communications. You must protect that information and use it only for your permitted Networker workflow.
You should not upload Social Security numbers, government identifiers, full financial account numbers, protected health information, biometric data, passwords, or other highly sensitive data unless a feature specifically requires it and you have a lawful basis to provide it. Networker is not designed to store regulated health, financial, or government-identification records.
15. Feedback
If you provide feedback, suggestions, ideas, or recommendations, you grant Networker a perpetual, worldwide, irrevocable, royalty-free license to use them without restriction or compensation, except that we will not identify you publicly as the source without your permission.
16. Disclaimers
Networker is provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and error-free operation.
Networker may contain incomplete, outdated, incorrect, or third-party information. Contact information, school affiliation, firm affiliation, group, location, and other professional data may change. You are responsible for independently verifying information before relying on it.
17. Limitation of Liability
To the fullest extent permitted by law, Networker and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost profit damages, or for loss of data, goodwill, business, opportunities, interviews, offers, or reputation, arising out of or related to Networker or these Terms.
To the fullest extent permitted by law, Networker's aggregate liability for all claims arising out of or related to Networker or these Terms will not exceed the greater of the amount you paid to Networker for the service giving rise to the claim during the three months before the event giving rise to liability or one hundred U.S. dollars.
18. Indemnification
You agree to defend, indemnify, and hold harmless Networker and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your User Content, your outreach, your connected services, your violation of these Terms, your violation of law, your misuse of Networker, your scraping or unauthorized data use, or your infringement or violation of another person's rights.
19. Suspension and Termination
We may suspend, limit, or terminate your account or access to Networker at any time if we believe you violated these Terms, pose security or legal risk, engaged in scraping or abuse, failed to pay fees, created risk for Networker or others, or if required by law. You may stop using Networker at any time.
Upon termination, your right to use Networker ends immediately. Sections that by their nature should survive will survive, including ownership, restrictions, data protection obligations, disclaimers, limitations of liability, indemnification, dispute terms, and payment obligations.
After termination or account deletion, we may retain information as described in the Privacy Policy, including records needed for legal compliance, security, fraud prevention, payment records, dispute resolution, backups, and legitimate business purposes. You should export or save information you need before closing your account where export functionality is available.
20. Changes to Networker and These Terms
We may update Networker and these Terms from time to time. If changes are material, we will provide notice as required by law. Updated Terms become effective when posted or as stated in the notice. Your continued use of Networker after changes become effective means you accept the updated Terms.
21. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict of law principles, unless applicable law requires otherwise. You and Networker agree to attempt to resolve disputes informally first by contacting tanish@ibnetworker.com. If a dispute cannot be resolved informally, the parties may pursue available remedies in the state or federal courts located in California, unless applicable law requires another forum.
22. Miscellaneous
These Terms, together with the Privacy Policy and any plan-specific terms presented to you, are the entire agreement between you and Networker regarding the Services. If any provision is unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
23. Google and Microsoft OAuth Provider Terms
By signing in with Google or connecting a Microsoft email sender, you authorize Networker to use OAuth and the applicable provider APIs for the features you request. Google OAuth is used for sign-in identity only. Microsoft OAuth is used for sender account connection, token refresh, draft creation, draft updates, approved or scheduled sending, send status tracking, troubleshooting, security, compliance, and user-directed support. You may connect only accounts that you own, control, or have authority to use with Networker.
Your use of Google, Gmail, Microsoft Outlook, Microsoft 365, Microsoft Graph, and related third-party services is also governed by those providers' terms, privacy policies, API rules, consent screens, account controls, and administrator policies. You are responsible for maintaining permission to use connected accounts and for complying with provider sending limits, anti-abuse rules, school or employer policies, recipient preferences, and applicable law.
For Google sign-in, Networker uses openid, email, and profile permissions only. Networker does not request Gmail sender scopes, does not request https://mail.google.com/, and does not use Google data for email sending, advertising, data brokerage, credit decisions, surveillance, or generalized AI model training.
For Microsoft sender integrations, Networker uses delegated openid, email, profile, offline_access, User.Read, Mail.ReadWrite, and Mail.Send permissions for the Microsoft account actions described in the Privacy Policy. Networker does not request Microsoft Graph application permissions to access all mailboxes in an organization and does not use Microsoft email data for advertising, data brokerage, credit decisions, surveillance, or generalized AI model training.
Networker may suspend, disconnect, limit, or refuse an email integration if needed to protect users, comply with Google or Microsoft requirements, prevent abuse, respond to provider changes, address security risk, honor revocation, or enforce these Terms. Disconnecting or revoking a provider integration may prevent drafts, sending, reply tracking, or other email workflows from working.
